Senior Associate Or Counsel

Direct Counsel represents a prestigious AmLaw firm seeking a Senior Associate or Counsel to join its Executive Compensation & Employee Benefits Practice.


Locations: Charleston, SC Charlotte, NC Miami, FL Nashville, TN New York, NY Orange County, CA Pittsburgh, PA Raleigh, NC San Francisco, CA Seattle, WA


This opportunity is ideal for an attorney with 6+ years of executive compensation and employee benefits experience, particularly involving public company matters, M&A transactions, and private equity deals.


Responsibilities:


- Advise public and private company clients on executive compensation and employee benefits matters

- Draft and review executive employment, severance, retention, and change-in-control agreements

- Counsel clients on equity and non-equity incentive compensation plans
- Handle employee benefits aspects of mergers, acquisitions, and private equity transactions

- Advise on tax-qualified and nonqualified retirement plans
- Assist with public company executive compensation disclosures and governance matters

- Work directly with clients and manage sophisticated compensation and benefits projects


Qualifications:


- JD from an accredited law school
- Active bar admission and good standing
- 6+ years of executive compensation and employee benefits experience
- Experience with public company executive compensation disclosures
- Experience supporting M&A and private equity transactions
- Knowledge of retirement plans, incentive compensation plans, and executive employment arrangements

- Strong drafting, analytical, and communication skills
- Excellent academic credentials and commitment to client service


Compensation & Benefits:


- Salary: $270,000 – $410,000
